A California or out of state business entity can dissolve, surrender, or cancel their business by filing the applicable forms, which are different for all business types.  Find more information below.

A Certificate of Election to Wind Up and Dissolve, as well as a Certificate of Dissolution must be filed unless the election to dissolve is made by a vote of all outstanding shares, in which case only the Certificate of Dissolution is required. In limited circumstances, a Short Form Certificate of Dissolution may be filed.
A Certificate of Election to Wind Up and Dissolve, as well as a Certificate of Dissolution must be filed unless the election to dissolve is made by a vote of all directors, in which case only the Certificate of Dissolution is required. Please note: if the corporation being dissolved is a non-profit public benefit or a religious corporation, the Certificate of Dissolution must be accompanied by a letter from the Attorney General that either waives objections to the distribution of the corporation’s assets or confirms that the corporation has no assets.
A Certificate of Surrender of Right to Transact Intrastate Business must be filed.
A Certificate of Dissolution and Certificate of Cancellation must be filed unless all members vote to dissolve, in which case only Form LLC-4/7 is required. In limited circumstances, a Short Form Certificate of Cancellation may be filed.
A Certificate of Cancellation must be filed.
A Certificate of Cancellation must be filed.
A Notice of Change of Status must be filed.
A Certificate of Dissolution is required.
